1. Acceptance of Terms
By downloading, installing, accessing, or using the Orbiant mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
These Terms constitute a legally binding agreement between you and Brandenburger Digital Systems UG (haftungsbeschränkt), Ströherstr. 20, 35683 Dillenburg, Germany ("Orbiant," "we," "our," or "us"). We may update these Terms from time to time. We will notify you of material changes through the App or via email. Your continued use of the App after such notification constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the App.
2. Description of Service
Orbiant is a personal productivity and life management application that provides:
- Journaling and mood tracking
- Habit tracking and goal setting
- Task and event management
- Calendar integration (iOS Calendar, Google Calendar)
- AI-powered insights and recommendations (with user consent)
- Encrypted local storage and backups to your personal cloud (iCloud/Google Drive)
- Cross-platform device transfer
- Focus timer, routines, and planning tools
We reserve the right to modify, suspend, or discontinue any aspect of the App at any time, with or without notice.
3. Eligibility and Age Requirements
3.1 Age Requirements
- You must be at least 13 years old to use the App (or 16 years old if you are located in the European Economic Area).
- If you are under 18 (or the age of majority in your jurisdiction), you represent that you have obtained parental or guardian consent to use the App.
3.2 Account Requirements
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
4. User Accounts and Registration
4.1 Account Creation
- You may create an account using email/password, Apple Sign-In, or Google Sign-In.
- You must provide a valid email address.
- You are responsible for keeping your account information up to date.
4.2 Account Security
- You are responsible for maintaining the security of your account.
- You must not share your account credentials with others.
- You must notify us immediately of any security breach or unauthorized access.
- We are not liable for any loss or damage arising from your failure to protect your account.
4.3 Account Termination
- You may delete your account at any time through the App settings. Upon deletion, your cloud profile data and authentication account will be permanently removed from our servers. Local data on your device remains until you uninstall the App or manually clear it.
- We reserve the right to suspend or terminate your account for violation of these Terms.
- Upon termination, your right to use the App will immediately cease.
5. Subscription and Payment Terms
5.1 Subscription Plans
We offer the following subscription plans:
- Orbiant Basic (Free): Core features, no payment required.
- Orbiant Pro (Premium): Full access to all features, requires payment.
5.2 Payment Processing
- All payments are processed through Apple App Store (iOS) or Google Play Store (Android).
- Payment terms are governed by Apple's and Google's respective terms of service.
- We do not process or store payment card information.
- Subscription prices may vary by region and are subject to change.
5.3 Subscription Terms
- Monthly Subscription: Billed monthly, automatically renews unless cancelled.
- Yearly Subscription: Billed annually, automatically renews unless cancelled.
- Free Trial: We may offer a free trial period (typically 7 days). Trial availability and duration may vary.
- Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
5.4 Cancellation and Refunds
- You may cancel your subscription at any time through your device's App Store or Play Store settings.
- Cancellation takes effect at the end of the current billing period.
- You will continue to have access to premium features until the end of the current billing period.
- Refunds are handled by Apple or Google in accordance with their respective refund policies.
- We do not provide direct refunds; all refund requests must be made through Apple or Google.
6. User Content and Data
6.1 Your Content
- You retain full ownership of all content you create using the App.
- You are solely responsible for your content.
- You grant us a limited, non-exclusive license to process your content solely to provide the App services (e.g., AI-powered features you enable, backups you initiate, and content you choose to share).
6.2 Content Restrictions
When sharing content through the App (e.g., Time Capsule sharing, feedback), you agree not to share content that:
- Is illegal, harmful, or violates any applicable laws
- Infringes on intellectual property rights of others
- Contains viruses, malware, or other harmful code
- Is defamatory, harassing, abusive, or threatening
- Violates privacy rights of others
- Contains personal information of others without their consent
6.3 Content Removal
We reserve the right to remove or disable access to any shared content that violates these Terms or applicable laws, without prior notice.
6.4 Data Storage
- Your content is stored primarily on your local device. It is not automatically synced to cloud servers.
- Encrypted backups are stored in your personal cloud (iCloud or Google Drive), controlled by you.
- When you initiate a device transfer, your encrypted data is temporarily stored on our servers and automatically deleted after retrieval or within 72 hours.
- Profile metadata (such as name, email, and consent preferences) is synced to our backend to enable authentication and account management.
- We are not liable for any loss of data. We recommend regular backups.
7. AI-Powered Features
7.1 AI Services
- Certain features use artificial intelligence provided by third-party services (OpenAI, Google Gemini).
- AI features require your explicit consent, which you can grant or withdraw at any time in Settings.
7.2 AI Processing
- When you use AI features, relevant context from your data is sent to third-party AI providers for processing.
- AI processing is subject to our Privacy Policy.
- We do not guarantee the accuracy, completeness, or usefulness of AI-generated content.
- AI-generated content is provided "as is" without warranties of any kind.
7.3 No Professional Advice
THE APP, INCLUDING ITS AI-POWERED FEATURES, IS NOT INTENDED TO PROVIDE MEDICAL, PSYCHOLOGICAL, THERAPEUTIC, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. AI-GENERATED INSIGHTS AND RECOMMENDATIONS ARE FOR INFORMATIONAL AND PERSONAL REFLECTION PURPOSES ONLY AND SHOULD NOT BE CONSIDERED A SUBSTITUTE FOR PROFESSIONAL CONSULTATION. IF YOU NEED PROFESSIONAL HELP, PLEASE CONSULT A QUALIFIED PROFESSIONAL.
8. Intellectual Property Rights
- The App, including all software, designs, text, graphics, logos, and other content, is owned by us or our licensors.
- All rights, title, and interest in the App remain with us.
- You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.
9. Prohibited Uses
You agree not to:
- Use the App for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to the App or related systems
- Reverse engineer, decompile, or disassemble the App
- Remove, alter, or obscure any proprietary notices
- Use automated systems to access the App without permission
- Interfere with or disrupt the App or servers
- Transmit viruses, malware, or other harmful code
10. Privacy and Data Protection
Your use of the App is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the App, you acknowledge that you have read and understood our Privacy Policy.
11. Third-Party Services
The App integrates with third-party services including Apple Sign-In, Google Sign-In, Firebase (Google), OpenAI, Google Gemini, and RevenueCat (for subscription management). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.
12. Disclaimers and Limitations of Liability
12.1 Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE APP WILL BE AVAILABLE AT ALL TIMES, UNINTERRUPTED, OR ERROR-FREE.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.
12.3 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR EUR 100, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Brandenburger Digital Systems UG (haftungsbeschränkt) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.
14. Dispute Resolution
14.1 Informal Resolution
Before filing a formal legal claim, you agree to contact us at info@orbiant.app to attempt to resolve the dispute informally. We will endeavor to resolve disputes within 30 days.
14.2 EU Online Dispute Resolution
For users in the European Union: The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but may choose to do so on a case-by-case basis.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top.
- Notify you through the App or via email.
- Give you reasonable notice before the changes take effect.
Your continued use of the App after such notice constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements and understandings.
18. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. For consumers in the European Union, mandatory consumer protection laws of your country of residence shall apply to the extent they provide more favorable protection. Any disputes shall be subject to the jurisdiction of the courts of Dillenburg, Germany, except where mandatory consumer protection laws provide otherwise.
